AI Use & Disclaimer Terms

These AI Use & Disclaimer Terms (these "AI Terms") form part of, and are incorporated into, the venpor Terms of Use and Customer Terms of Service. "AI Services" means the platform's AI assistant and AI-enabled, managed-service automations (currently provided under the name "Venny"). "Input" means content you submit to the AI Services; "Output" means content the AI Services generate.

Read this first. The AI Services are a research, decision-support, and automation tool. Output is AI-generated and may be incomplete, inaccurate, or out of date. The AI Services are not a professional adviser and do not provide legal, tax, financial, accounting, compliance, or employment advice. No advisory, fiduciary, or professional relationship is created. You must independently verify Output and exercise your own judgment before acting on it.

1. What the AI Services are — and are not

The AI Services help you find information, draft and organise content, surface relevant data, and execute workflows and managed-service automations faster. They support your decisions and execution; they do not make decisions for you, and do not create any professional or advisory relationship with venpor.

Output is generated by probabilistic models. It can be wrong, incomplete, or inconsistent, may not reflect the most current law or facts, and is not a substitute for professional advice or your own judgment.

2. Shown sources and data points — transparency, not verification

Where the AI Services show you the data points, documents, or sources behind an Output, they do so for transparency only. Surfacing a source does not mean venpor has verified it, that it is accurate or current, or that the Output correctly reflects it.

3. Your responsibility — verification and no reliance

You assume all responsibility for determining whether any Output is accurate or sufficient for your purposes. You will not act on any Output that has legal, financial, tax, compliance, or employment consequences without first independently verifying it.

Prohibited reliance — without independent professional review, do not use Output as the basis for: determinations about a person's employment, classification, pay, benefits, or leave; credit, insurance, housing, immigration, education, or healthcare decisions; tax filings or regulatory submissions; or any decision producing legal or similarly significant effects for an individual.

4. No solely-automated decision-making; human oversight

The AI Services are designed to support human decisions, not replace them. They do not make decisions that produce legal effects or similarly significantly affect any individual on a solely-automated basis; a qualified human must review and remains responsible for any such decision (Article 22 GDPR).

5. AI transparency

venpor will inform users, clearly and within the product, when they are interacting with an AI system, consistent with applicable transparency law (including Article 50 of the EU AI Act).

6. White-label / renamed assistant

Where the platform is provided on a white-label basis, the AI Services may be presented under a name other than "Venny." All of these AI Terms continue to apply in full to the renamed assistant.

7. Inputs, Outputs, and model rights

As between the parties, you retain rights in your Inputs and own your Outputs. No training on your content. venpor will not use your Customer Data, Inputs, or Outputs to train or improve its generally-available models, except (a) with your explicit opt-in, or (b) in aggregated or de-identified form.

8. Restrictions on your Inputs and use

  • submit as Input any special-category personal data without a lawful basis;

  • submit Input that is unlawful, infringing, or harmful;

  • use the AI Services or any Output to develop, train, or improve any competing AI or machine-learning model;

  • reverse engineer, extract, or attempt to derive the underlying models, weights, prompts, or architecture; or

  • use the AI Services for a prohibited or high-risk purpose, or in breach of our Acceptable Use Policy or the Agreement.

9. Usage, metering, fair use, and rate limits

The AI Services are charged on a usage basis. Consumption is measured by venpor's systems, which are the authoritative record of usage and conclusive absent manifest error. You are solely responsible for all consumption generated under your account, including consumption resulting from your own misconfiguration or runaway automations.

10. Third-party AI components

The AI Services may use AI models, tools, or infrastructure provided by third parties. venpor has no liability for the unavailability of, or any act or omission of, any third-party AI provider, and such components are provided "as is."

11. Disclaimer and liability

To the maximum extent permitted by law, the AI Services and all Output are provided "as is" and "with all faults", without warranty of any kind. You assume all risks associated with your use of the AI Services and any Output.
