
Embedded Third-Party Services Framework
This Framework forms part of, and is incorporated into, the venpor Terms of Use and Customer Terms of Service. It governs your selection, access, and use of Third-Party Services through the Platform, and the limited role venpor plays in relation to them.
1. The embedded model
The Platform lets you discover, connect to, and operate Third-Party Providers — for example employer-of-record (EOR), agent-of-record (AOR), payroll, compliance, and payment providers — through a single, embedded experience. The embedded experience is a convenience and orchestration layer. It does not change who provides the service or who is responsible for it.
The roles, stated plainly:
You (Customer): contract for and receive the Third-Party Service; responsible for selecting it and for your compliance, engagement, and payment obligations.
Third-Party Provider: supplies the service; carries the regulatory licences and the liability for the service.
venpor: the orchestration and commercial layer. In no case does venpor perform the service or act as the provider's subcontractor.
For any given Third-Party Provider, venpor acts in one of two roles: Introducer (you contract directly with the provider; venpor is not a party) or Reseller (venpor may set or negotiate the price, but the provider remains sole performer).
2. Where venpor acts as Introducer — venpor is not a party
Where venpor acts as Introducer, any agreement for the Third-Party Service is entered into directly between you and the Third-Party Provider, on the provider's own terms. venpor is not a party to that agreement, does not perform it, and has no rights or obligations under it.
Customer covenant. You will not represent, and will not inform or allow any Third-Party Provider or Worker to believe, that venpor is a party to, an agent under, or a guarantor of any Third-Party Service.
3. Where venpor acts as Reseller — back-to-back, never a subcontractor
Commercial role. venpor may make the service available under its commercial terms and may negotiate, set, or mark up the price.
Provider remains sole performer. The provider performs the service and remains solely responsible for its delivery, compliance, classification, tax, and payment functions.
No independent warranty; pass-through. venpor gives no warranty of its own for a resold service.
Back-to-back liability. venpor's aggregate liability for a resold service is limited to the amounts venpor actually recovers from the provider.
Remedies via the provider. Your remedy for any failure, non-compliance, delay, or error in a resold service is against the provider, not a claim against venpor.
4. No warranty; no responsibility for acts or omissions
All Third-Party Services are provided "as is" and at your own risk. venpor is not responsible for, and disclaims all liability arising from or relating to, the acts or omissions of any Third-Party Provider, including any failure to deliver a service, non-compliance, misclassification, tax or payroll error, data incident, delay, or insolvency.
5. Your selection decision — no reliance
You are responsible for selecting Third-Party Providers suitable for your needs and for conducting your own due diligence. Any ranking, suggestion, comparison, or recommendation the Platform presents regarding a Third-Party Provider is provided for convenience only and is not advice or an endorsement.
6. Payments and compliance run through the provider, not venpor
venpor does not receive, hold, control, or transmit any funds, and money never flows through any venpor-controlled account.
The Platform may transmit payment instructions and data, but settlement is performed by the provider or by you.
venpor carries no liability for compliance outcomes, tax or social-security treatment, worker classification, or any failed, delayed, incorrect, or disputed payment by a provider.
7. Data sharing with Third-Party Providers
Using a Third-Party Service generally requires sharing Customer Data between the Platform and the provider, at your instruction. You are responsible for ensuring you have a lawful basis to share that data. venpor is not responsible for the privacy or data-handling practices of any Third-Party Provider.
8. Precedence, changes, and no circumvention
venpor may add, remove, or change available Third-Party Providers at any time. No circumvention. Where venpor introduces you to, or resells, a Third-Party Service, you will not use the Platform to identify a provider and then deliberately contract with that provider outside the Platform to avoid the fees or margin otherwise payable to venpor.
9. Liability
venpor's liability in connection with Third-Party Services is governed by, and subject to, the disclaimers and limitation of liability in the Customer Terms of Service.
